Terms of Service

01Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, and able to form a binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

02Accounts

To use certain features, you may need to create an account. You agree to provide accurate, complete, and current information; maintain the security of your account; keep credentials confidential; and promptly notify us of unauthorized access or use.

You are responsible for all activity under your account. We may suspend or terminate accounts that violate these Terms, create risk, cause harm, or are used in a way that may expose ZMG Solutions or others to liability.

03Organization and Workspace Accounts

Some Services may allow an organization, company, union, team, customer, or administrator to create or manage a workspace. If your account is associated with a workspace, the workspace owner or administrator may be able to manage your access, control settings, view usage, access content associated with the workspace, and remove users.

If you use the Services through an organization, your use may also be subject to that organization’s policies, agreements, and administrative controls.

04Acceptable Use

You agree not to:

• use the Services in violation of any applicable law, regulation, contract, policy, or third-party right;
• upload, transmit, or generate unlawful, harmful, abusive, deceptive, defamatory, infringing, or otherwise objectionable content;
• submit information you do not have the right to use, upload, process, or disclose;
• infringe or misappropriate intellectual-property, privacy, publicity, confidentiality, labor, contractual, or other rights;
• upload malware, malicious code, or harmful files;
• interfere with, disrupt, overload, scan, probe, or attack the Services or related systems;
• attempt to gain unauthorized access to accounts, systems, data, models, infrastructure, or networks;
• scrape, harvest, extract, or collect data except as expressly permitted by us;
• reverse engineer, decompile, disassemble, or attempt to derive source code, models, prompts, algorithms, or underlying systems, except where prohibited by law;
• bypass rate limits, security controls, usage limits, or access restrictions;
• use the Services to build, train, or improve a competing product or service without our written permission;
• misrepresent AI-generated output as authoritative, official, verified, legal, safety, operational, or professional advice; or
• use the Services in any manner that could create safety, security, legal, operational, employment, labor-relations, or compliance risk without appropriate independent verification.

We may investigate violations and take appropriate action, including removing content, limiting access, suspending accounts, terminating accounts, preserving records, or reporting conduct to authorities where appropriate.

05Your Content

You retain ownership of content you submit, upload, store, create, or process through the Services (“Your Content”).

You grant ZMG Solutions a non-exclusive, worldwide, royalty-free license to host, store, process, reproduce, display, transmit, modify, analyze, and use Your Content solely as needed to operate, provide, secure, support, maintain, and improve the Services; comply with law; enforce these Terms; and as otherwise described in our Privacy Policy and applicable product-specific addendums.

You represent and warrant that:

• you have all rights necessary to submit and use Your Content with the Services;
• Your Content does not violate law, contract, confidentiality obligations, workplace rules, union agreements, court orders, intellectual-property rights, privacy rights, or other third-party rights; and
• your use of the Services will not cause ZMG Solutions to process information unlawfully.

You are solely responsible for Your Content and for reviewing, verifying, and backing up content important to you.

06AI Features and Generated Output

Some Services may include AI-powered features that generate summaries, answers, citations, recommendations, drafts, classifications, search results, analyses, or other output (“Output”) based on inputs, uploaded materials, data, or third-party sources.

AI Output may be incomplete, inaccurate, outdated, misleading, or inappropriate for your circumstances. You are responsible for independently reviewing and verifying Output before relying on it.

Unless expressly stated in a separate written agreement, Output is not legal advice, labor-relations advice, safety advice, medical advice, financial advice, operational authority, engineering advice, professional advice, or a substitute for human judgment, official documents, qualified professionals, applicable agreements, laws, policies, procedures, or supervisory review.

ZMG Solutions does not guarantee that AI Output will be accurate, complete, available, current, enforceable, compliant, or suitable for your intended use.

07Product-Specific Risk Areas

Some ZMG Solutions products may be used in areas involving contracts, union agreements, operational procedures, safety-sensitive industries, compliance, project scopes, business decisions, or sensitive documents.

You agree that you are responsible for:

• confirming the accuracy of source materials;
• verifying citations, references, outputs, and recommendations;
• consulting appropriate professionals or authorized representatives where needed;
• following applicable laws, agreements, policies, rules, and procedures;
• ensuring your use of the Services is permitted by your employer, customer, organization, union, or applicable authority; and
• not relying on the Services as the sole basis for high-stakes decisions.

08Our Intellectual Property

The Services, including software, interfaces, workflows, designs, text, graphics, logos, trademarks, service marks, product names, systems, algorithms, prompts, data structures, documentation, and related technology, are owned by ZMG Solutions or its licensors and are protected by intellectual-property and other laws.

ZMG Solutions, DoctrineNorth, RailAxiom, RailSage, ScopeShield, Axis, Axis OS, and related names, logos, marks, and product identities are owned by ZMG Solutions or its licensors.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose. We reserve all rights not expressly granted.

09Feedback

If you provide ideas, suggestions, comments, bug reports, feature requests, or other feedback, you grant ZMG Solutions a perpetual, irrevocable, worldwide, royalty-free right to use, modify, commercialize, and incorporate that feedback without restriction or compensation.

10Subscriptions, Payments, and Trials

Some features may require payment or a subscription. Subscription terms, pricing, renewal periods, usage limits, and cancellation rules may be presented in the applicable app, website, order form, or app store.

If you purchase through the Apple App Store, payment is charged to your Apple account; subscriptions renew automatically unless canceled at least 24 hours before the end of the current period; and you can manage or cancel subscriptions in your Apple account settings. Apple’s terms and policies also apply.

Except where required by law or applicable platform policy, payments are non-refundable.

We may change pricing, features, plans, limits, or availability. If required, we will provide notice before material changes affect an active paid subscription.

11Apple App Store Terms

If you download or use an app obtained through the Apple App Store, the following additional terms apply:

• These Terms are between you and ZMG Solutions, not Apple.
• Apple is not responsible for the app or its content.
• Your license to use the app is limited to Apple-branded products you own or control, as permitted by Apple’s usage rules.
• Apple has no obligation to provide maintenance or support for the app.
• To the maximum extent permitted by law, Apple has no warranty obligation with respect to the app.
• Apple is not responsible for claims relating to the app or your use of it, including product-liability, regulatory, privacy, consumer-protection, or intellectual-property claims.
• If a third party claims the app infringes intellectual-property rights, ZMG Solutions, not Apple, is responsible for investigating, defending, settling, and discharging the claim.
• You represent that you are not located in a country subject to a U.S. Government embargo or designated as a terrorist-supporting country, and that you are not listed on any U.S. Government prohibited or restricted-party list.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce these Terms against you.

12Third-Party Services

The Services may link to, depend on, or integrate with third-party products, platforms, APIs, models, app stores, payment processors, hosting providers, authentication providers, analytics providers, or content sources. We are not responsible for third-party services, and your use of them is governed by their own terms and policies.

13Beta, Preview, and Experimental Features

We may offer beta, preview, experimental, early-access, or prototype features. These features may be incomplete, unstable, inaccurate, unavailable, changed, or discontinued at any time. Use them at your own risk.

14Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, OR RELIABILITY.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, CURRENT, COMPLETE, OR FREE FROM HARMFUL COMPONENTS, OR THAT ANY CONTENT, OUTPUT, RESULT, CITATION, RECOMMENDATION, OR DATA WILL BE ACCURATE, RELIABLE, COMPLIANT, OR SUITABLE FOR YOUR PURPOSE.

15Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZMG SOLUTIONS AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, ENHANCED, OR PUNITIVE DAMAGES; LOST PROFITS; LOST REVENUE; LOST DATA; LOSS OF GOODWILL; BUSINESS INTERRUPTION; SUBSTITUTE SERVICES; OR DAMAGES ARISING FROM AI OUTPUT, USER CONTENT, THIRD-PARTY SERVICES, UNAUTHORIZED ACCESS, SECURITY EVENTS, OR SERVICE UNAVAILABILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO ZMG SOLUTIONS FOR THE RELEVANT SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

16Indemnification

You agree to indemnify, defend, and hold harmless ZMG Solutions and its members, officers, employees, contractors, agents, affiliates, licensors, and service providers from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

• your use of the Services;
• Your Content;
• your violation of these Terms;
• your violation of law, contract, policy, or third-party rights;
• your reliance on AI Output; or
• your use of the Services in safety-sensitive, legal, labor, operational, regulated, or high-stakes contexts.

17Suspension and Termination

We may suspend, limit, or terminate your access to the Services at any time, with or without notice, if we believe you violated these Terms, created risk, caused harm, failed to pay, used the Services unlawfully, or otherwise exposed ZMG Solutions, users, or third parties to potential liability.

You may stop using the Services at any time and may delete your account where available.

Sections that by their nature should survive termination will survive, including ownership, feedback, disclaimers, limitation of liability, indemnification, governing law, and dispute provisions.

18Changes to the Services

We may modify, suspend, discontinue, replace, limit, or remove any part of the Services at any time. We are not liable for changes, interruptions, or discontinuation.

19Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules.

Subject to applicable law, any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction and venue of those courts.

20Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date and, where appropriate, provide additional notice. Your continued use of the Services after the updated Terms become effective means you accept the updated Terms.
